RB-9-2009 BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A. Increases its Share of Total Number of Votes at the ComArch S.A. General Shareholders’ Meeting

Pursuant to Art. 70, sec. 1 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539), the Management Board of ComArch S.A. hereby presents the following information, regarding an increase in BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A.’s share of the total number of votes at the General Shareholders’ Meeting of ComArch S.A.:

“Pursuant to Art. 69, sec 2, pt 1a) in relation to art. 87, sec. 1, pt 2a) of the Act dated the 29th of July, 2005, concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539), BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A., on behalf of Arka BZ WBK Shares Open Investment Fund, Arka BZ WBK Shares of Middle and Eastern Europe Closed Investment Fund, Arka BZ WBK Stable Growth Open Investment Fund, Arka BZ WBK Balanced Open Investment Fund and Lukas Open Investment Fund (hereinafter referred to as the “Funds” ) states that, as a result of the purchasing the shares on 23th of April, 2009, the Funds increased more than a 2 % their share of the total number of votes at ComArch S.A.’s General Shareholders’ Meeting. Prior to the above-mentioned share increase, the Funds informed about 10.01% share of the total votes at ComArch S.A.'s General Shareholders’ Meeting.

Prior to the above-mentioned share increase, the Funds held 1,795,280 of the company’s shares, which constituted 22.55 % of the company’s share capital. This gave 1,795,280 or a 12.005% share of the total votes at ComArch S.A.'s General Shareholders’ Meeting.

On 23th of April, 2009, the Funds held 1,800,179 ComArch S.A. shares which constituted 22.61% of the company's share capital. This gave 1,800,179 or a 12.04% share of the total votes at ComArch S.A.'s General Shareholders’ Meeting.

At the same time, Towarzystwo stated that pursuant to art. 46, sec. 1, pt 1) of the Act on investment funds dated the 27th of May, 2004 (Journal of Laws No. 146, pos. 1546, and subsequent changes), it authorized BZ WBK AIB Asset Management S.A. to manage investment portfolioes of investment funds. In relation to this authorization, BZ WBK AIB Asset Management S.A. is also obliged to inform of any above-mentioned purchases.”
