RB-7-2011 BZ WBK Asset Management S.A. Decreases its Share of Total Number of Votes at Comarch S.A. General Meeting

Pursuant to Art. 70, sec. 1 of the Act concerning public tenders, the terms of introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539 and subsequent changes), the Management Board of Comarch S.A. hereby presents the following information, regarding a decrease in BZ WBK Asset Management S.A.’s share in the total number of votes at the general meeting of Comarch S.A.:

“Pursuant to Art. 69, sec 1, pt 2 in relation to art. 87, sec. 1, pt 3b) of the Act dated the 29th of July, 2005, concerning public tenders, the terms of introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539, and subsequent changes), BZ WBK Asset Management S.A. with its registered seat in Poznań (hereinafter referred to as the “Company”), informs that, as a result of the sales of the shares on 6th of April, 2011, customers of the company hold less than a 10% share of the total number of votes at Comarch S.A.’s annual general meeting.

Prior to the above-mentioned share decrease, the customers of BZ WBK Asset Management S.A. held 1,631,348 of the company’s shares, which constituted 20.26 % of the company’s share capital. This gave 1,631,348 or a 10.84 % share of the total votes at Comarch S.A.'s annual general meeting. 

On the 6th of April, 2011, there were 1,416,423 Comarch S.A. shares in the managed securities accounts of BZ WBK Asset Management S.A. customers, which constituted 17.59 % of the company's share capital. This gave 1,416,423 or a 9.41 % share of the total votes at Comarch S.A.'s annual general meeting.

At the same time, BZ WBK AIB Asset Management S.A. informed that pursuant to art. 46, sec. 1, pt 1) of the Act on investment funds dated the 27th of May, 2004, (Journal of Laws No. 146, pos. 1546, and subsequent changes), BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych Spółka Akcyjna, with its registered seat in Poznań, authorized BZ WBK AIB Asset Management S.A. to manage investment portfolios of investment funds, whose body is Towarzystwo (hereinafter referred to as the “Funds”). With relation to the authorization mentioned above, this notice ought to take into account Comarch S.A. shares, which are held by funds.”
