RB-6-2009 Completion of a Mandatory Takeover Offer of Shares of SoftM Software und Beratung AG
Regarding current report no. 28/2008 dated the 14th of November, 2008, the Management Board of ComArch S.A. announces that on the 2nd of February, 2009, a mandatory takeover offer of shares of SoftM Software und Beratung AG, carried out according to the German Securities Acquisition and Takeover Act (Wertpapiererwerbs- und Übernahmegesetz), was completed.
The acceptance period of the takeover offer began on the 22nd of December, 2008, and ended on the 2nd of February, 2009. As a result of this offer, ComArch Software AG purchased 1,991,777 (in words: one million nine hundred ninety-one thousand seven hundred seventy-seven) shares of the company for 3.45 euros per share, i.e. for a total sum of 6,871,630.65 EUROS (in words: six million eight hundred seventy-one thousand six hundred thirty and 65/100 euros). Prior to the takeover offer, ComArch Software AG, a subsidiary of ComArch S.A., held 3,250,000 (in words: three million two hundred fifty thousand) shares which constituted 50.15% of SoftM Software und Beratung AG’s share capital.
As a result of the offer, ComArch Software AG holds 5,241,777 (in words: five million two hundred forty-one thousand seven hundred seventy-seven) shares of SoftM Software und Beratung AG, which constitutes 80.89 % of the company’s share capital. This gives 5,241,777 (in words: five million two hundred forty-one thousand seven hundred seventy-seven) or a 80.89 % share of the total votes at the company's annual general meeting.
