Pursuant to Art. 70, Pt. 1 of the Act dated 29 July 2005 concerning public tenders, the terms of introducing and trading financial instruments on the stock market as well as public companies (Journal of Laws No. 184, pos. 1539), the company hereby conveys information received on 07.02.2006 regarding the purchase of ComArch S.A. shares by BZ WBK AIB Asset Management SA with headquarters in Poznan.

of ComArch SA with over 10% of the total number of votes at ComArch S.A.'s annual general meetings. As of 06.02.2006, there were 1,417,770 ComArch SA shares in the managed securities accounts of BZ WBK AIB Asset Management SA clients, which amounted to 20.38% of the company's share capital. This gave the new ComArch's Shareholders 1,417,770 or 10.11% of the total votes at ComArch SA's annual general meetings.

Prior to the above-mentioned share increase in ComArch SA, there were 1,385,570 ComArch SA shares in the assets management portfolios of BZ WBK AIB Asset Management SA clients, which amounted to 19.92% of the company's share capital. This amounted to 1,385,570 or 9.88% of the total votes at ComArch SA's annual general meetings.

At the same time, information was received from BZ WBK AIB Asset Management SA as follows:

"Within a period of 12 months from the time of notice, an increase as well as decrease in the capital share of BZ WBK AIB Asset Management SA clients in ComArch SA is possible. Decisions concerning the acquisition or sale of ComArch SA shares will be dependent on ComArch SA's situation and assessment of such situation as well as the market conditions. Decisions concerning the acquisition or sale of ComArch SA shares will also be influenced by the value of assets managed portfolios of BZ WBK AIB Asset Management SA".
