Pursuant to &5 sec. 1 point 1 of the Regulation issued by the Minister of Finance on 19 October 2005 concerning current and periodical information pertaining to companies traded on the stock exchange ComArch S.A.'s Management Board announces that on 3 December 2007 an agreement on INTERIA.PL S.A. ownership transfer between ComArch S.A. with its registered seat in Krakow and COMARCH Management spólka z ograniczona odpowiedzialnoscia spólka komandytowo - akcyjna with its registered seat in Krakow was concluded.

In consequence of this agreement ComArch S.A. acquired 45,000 (in words: forty-five thousand) series B registered preferential COMARCH Management Sp. z o.o. SKA shares of nominal value of 1.00 PLN (in words: one zloty) each, with issue price of 3,780.47 PLN (in words: three thousand seven hundred eighty and 47/100) for each share. ComArch S.A. paid for the above-mentioned series B shares with 2,538,369 (in words: two million five hundred thirty-eight thousand three hundred sixty-nine) shares of INTERIA.PL S.A. with its registered seat in Krakow. They in total constitute 36.08 % of share capital of INTERIA.PL S.A. and entitle to 48.48 % of votes at the annual general meeting of INTERIA.PL S.A. The nominal value of the above-mentioned shares is 1.00 PLN each. As a result of this agreement ComArch S.A. doesn't hold any INTERIA.PL S.A. shares.
COMARCH Management Sp. z o.o. SKA is a subsidiary of ComArch S.A. by the unique active partner, i.e. COMARCH Management Sp. z o.o. that is a subsidiary of ComArch S.A.
The disposed shares were considered as significant due to the fact that they exceeded 20 % in the share capital of ComArch Management INTERIA.PL S.A.
