RB-5-2011 BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A. Decreases its Share of Total Number of Votes at the Comarch S.A. General Shareholders’ Meeting – Notification No. 2

Pursuant to Art. 70, sec. 1 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539 and subsequent changes), the Management Board of Comarch S.A. hereby presents the following information, regarding a decrease in BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A.’s share of the total number of votes at the General Shareholders’ Meeting of Comarch S.A.:

“Pursuant to Art. 69, sec 1, pt 2 and Art. 69, sec 2, pt 1a) in relation to art. 87, sec. 1, pt 2a) of the Act dated the 29th of July, 2005, concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539 and subsequent changes), BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A., on behalf of Arka BZ WBK Open Investment Fund (hereinafter referred to as the “Fund”) states that, as a result of the sales of the shares on the 28th of March, 2011, the Fund holds less than a 10 % share of the total number of votes at Comarch S.A.’s General Shareholders’ Meeting. At the same time, the Fund decreased its share of the total number of votes at Comarch S.A.’s annual general meeting by more than 2 %.

Prior to the above-mentioned share decrease, the Fund managed by Towarzystwo informed on holding of a 12.06 % share of the total number of votes at Comarch S.A.’s General Shareholders’ Meeting.

Prior to the above-mentioned share decrease, the Funds held 1,546,651 of the company’s shares, which constituted 19.21 % of the company’s share capital. This gave 1,546,651 or a 10.28 % share of the total votes at Comarch S.A.'s General Shareholders’ Meeting. 

On the 28th of March, 2011, the Funds held 1,236,802 Comarch S.A. shares which constituted 15.36 % of the company's share capital. This gave 1,236,802 or a 8.22 % share of the total votes at Comarch S.A.'s General Shareholders’ Meeting.

At the same time, Towarzystwo stated that pursuant to art. 46, sec. 1, pt 1) of the Act on investment funds dated the 27th of May, 2004 (Journal of Laws No. 146, pos. 1546, and subsequent changes), it authorized BZ WBK AIB Asset Management S.A. to manage investment portfolioes of investment funds. In relation to this authorization, BZ WBK AIB Asset Management S.A. is also obliged to inform of any above-mentioned purchases.”
