RB-30-2008 Increase in BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A. Share in the Total Number of Votes at the General Meeting of ComArch S.A.
Pursuant to Art. 70, sec. 1 of the Act concerning public tenders, the terms of introducing and trading financial instruments on the stock exchange as well as public companies (Journal of Laws No. 184, pos. 1539), the Management Board of ComArch S.A. hereby presents the following information on increase in BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A.’s share in the total number of votes at the general meeting of ComArch S.A.:
“Pursuant to Art. 69, sec 1, pt 1 in relation to art. 87, sec. 1, pt 2a) of the Act dated 29th July, 2005, concerning public tenders, the terms of introducing and trading financial instruments on the stock exchange as well as public companies (Journal of Laws No. 184, pos. 1539), BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A., on behalf of Arka BZ WBK Shares Open Investment Fund (hereinafter referred to as the “Fund”) informs that, as result of purchases of the shares, which were settled on 2nd December, 2008, the Fund exceeded 5 % in the total number of votes at ComArch S.A.’s annual general meeting.
Prior to the above-mentioned share increase, the Fund held 749,500 of the company’s shares, which constituted 9.42 % of the company’s share capital. This gave 749,500 or 4.999 % of the total votes at ComArch S.A.'s annual general meeting.
On 2nd March, 2008, there were 754,000 ComArch S.A. shares in the managed securities accounts of the Fund, which constituted 9.47 % of the company's share capital. This gave 754,000 or 5.03 % of the total votes at ComArch S.A.'s annual general meeting.
At the same time, Towarzystwo informed that pursuant to art. 46, sec. 1, pt 1) of the Act on investment funds dated 27 May 2004 (Journal of Laws No. 146, pos. 1546, and subsequent changes), authorised BZ WBK AIB Asset Management S.A. to manage investment portfolioes of investment funds. With relation to that authorisation, BZ WBK AIB Asset Management S.A. is also obliged to inform about above-mentioned purchases.”
