Article 17 par. 1 of the MAR – inside information

The Management Board of Comarch S.A. announced that on the 24th of August, 2016, received a notice from the District Court for Krakow-Podgórze, the Fourth Division of the Land and Mortgage Register, dated the 22nd of July, 2016, on registration of a mortgage with a value of EUR 12,000,000, i.e. PLN 51,246,000, as at the date of signing the agreement, established in the second place on the property owned by Comarch S.A. located in Krakow, ul. prof. Michała Życzkowskiego 23 (building SSE4). The current value of the mortgage established in the first place on building SSE4 for BGŻ BNP Paribas S.A. is PLN 53,815,386 and the current market value of the building SSE4 is PLN 78,880,000.
The basis for registration of above mentioned mortgage is an investment credit agreement dated the 18th of March, 2016, concluded between a bank BGŻ BNP Paribas S.A. and Comarch S.A.S., a subsidiary of Comarch S.A. and Comarch S.A. (as a co-borrower), about which the Issuer informed in the current report No. RB-4-2016 dated the 18th of March, 2016. Value of the liability secured with the mortgage amounts to EUR 8,000,000, i.e. PLN 34,164,000, as at the date of signing the agreement. There is no relation between Comarch S.A.S., Comarch S.A., its managing or supervising persons and BGŻ BNP Paribas S.A.
