Pursuant to Art 34, Act 1, Pt 2 of the Regulation issued by the Minister of Finance on 19 October 2005 concerning current and periodical information pertaining to companies traded on the stock exchange, ComArch S.A. informs that with Resolution Nr 91/2006 dated 04.04.2006 in accordance with Art 19, Act 1 and 2 of the Stock Exchange Regulations, the Management Board of the Warsaw Stock Exchange approved for admission to the Official List 102,708 (one hundred two thousand and seven hundred and eight) ComArch ordinary bearer series G3 shares, with a nominal value of 1 PLN.

These shares are marked with the code PLCOMAR00103 by the National Depository for Securities, Poland (KDPW) and are available for trading on the stock exchange as of 12 April 2006. The Resolution comes into force on the condition that on 12 April 2006, the KDPW assimilates the above-mentioned shares marked with the code PLCOMAR00103 with already traded ComArch S.A. shares marked with the code "PLCOMAR00012".
