Pursuant to &5 sec. 1 pt. 3 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. hereby informs that received an information on a contract dated the 20th of December, 2012, was signed between Comarch S.A. (hereinafter referred to as the: "Comarch") and Powszechna Kasa Oszczędności Bank Polski S.A. (hereinafter referred to as the: "Bank"). The tasks covered by the contract are delivery of Microsft Corporation licenses in relation to the Enterprise Agreement, Microsoft Select Agreement and additional services in relation to the Enterprise Agreement. The contract’s net value amounts to EUR 21,257,635.53, i.e. PLN 86,550,463.06. The contract was concluded for definite period and shall be binding till the 30th of September, 2015.
In case of withdrawal from the contract by Comarch when Bank is no liable, Comarch shall pay a contractual penalty in the amount of 1% of the net contract’s value, i.e. EUR 212,576.36, i.e. PLN 865,504.65. The payment of contractual penalties exclude the possibility of a claim for damages in an amount exceeding the value of these penalties. The total liabilities of parties due to all issues resulting from the contract and binding law shall not exceed an equivalent in Polish zlotys of product’s or service’s value constituting basis for a claim. The value of the company’s total equity constitutes the significant agreement’s criterion.
