RB-16-2008 Candidacy for the Supervisory Board of ComArch S.A.
On 16 June 2008 BZ WBK AIB Asset Management S.A. and BZ WBK AIB Investment Fund S.A. acting in the name of the following investment funds,
- ARKA BZ WBK FIO Share Open Investment Fund
- ARKA BZ WBK FIO Balanced Open Investment Fund
- ARKA BZ WBK Stable Growth Open Investment Fund
- LUKAS Open Investment Fund,
submitted a proposal to appoint Mr. Maciej Czapiewski to the post of independent member of the Supervisory Board of ComArch S.A.
BZ WBK AIB Asset Management S.A. and BZ WBK AIB Investment Funds S.A. have proposed the candidacy with regard to the candidate's broad educational background in Law and Finance and deep professional experience in financial auditing and as a member of Supervisory Boards in both public and private companies. From April 2007 to February 2008 he was the member of the Supervisory Board of PKO BP S.A. proposed by minority shareholders, while from January 2008 he has been an independent member of the WEMA S.A. Supervisory Board.
Curriculum Vitae:
Maciej Tomasz Czapiewski graduated in Management from the Economics Academy in Poznan and in Law and Administration from that city's Adam Mickiewicz University. He is a statutory auditor registered under item no. 10326/7604. In 1997-2005 he worked with the auditing company HLB Frackowiak i Wspólnicy Sp. z o.o. before, in April 2005, establishing his own business in the name M2 Audyt, which appears on the National Chamber of Statutory Auditors' register of entities authorized to audit financial statements as item no. 3016. Since 2006 he has been President of the Management Board of M2 Audyt Sp. z o.o., which is listed as entry no. 3149 on the National Chamber of Statutory Auditors' register of entities authorized to audit financial statements. Earlier in his career he helped to create and develop a production processes support application while at Rover Body & Pressings in Swindon U.K. on a professional experience placement. As well as being a skilled company financial analyst, he is also a specialist in auditing financial statements for listed companies and capital groups. Other accomplishments include preparing the financial sections of IPO prospectuses, due diligence work, and analysis for company consolidation, division and transformation plans. He conducts training in International Financial Reporting Standards and consolidation, and is also a lecturer at the Torun School of Banking. From April 2007 to February 2008 he was the member of the Supervisory Board of PKO BP S.A. proposed by minority shareholders, and since January 2008 he has been an independent member of the WEMA S.A. Supervisory Board.
To the best of the company's knowledge Mr. Czapiewski is not in competition with the issuer and is not involved with any company in competition with the issuer as an associate in a civil law partnership, a partnership or as a member of a body of a corporation. Furthermore, Mr. Czapiewski is not listed in the National Register of Debtors.
Voting on the appointment of Mr. Czapiewski to the Supervisory Board of ComArch S.A. shall take place at the next Annual General Shareholders' Meeting on 25 June 2008.
