Management Board of Comarch S.A. hereby informs that on the 17th of August, 2020, Comarch S.A. with its registered office in Krakow signed the framework agreement with Vodafone New Zealand Limited (hereinafter referred to as the "VFNZ”). The subject of the Agreement is delivery of software and maintenance services of IT systems (hereinafter referred to as the "Agreement"), on the terms specified in the Agreement.

Total expected amount of the remuneration due to Comarch S.A. shall not be lower than to NZD 122,013,649.00 (that is PLN 295,382,842.86) for the 10 years run period after the delivery. Expected delivery date is the second quarter of 2022.

Comarch S.A. liability for the compensation of damages does not differ from market standards used in similar agreements. None of the parties to the Agreement is responsible for the lost profits and damages not connected to their operations.

Comarch S.A.’s Management Board recognized this information as an inside information due to its potential influence on the financial and economic situation of Comarch S.A.
