According to the notification received by Comarch S.A. from the audit company UHY ECA Audyt sp. z o.o. sp. k. with its registered office in Warsaw: 
- on the 1st of July, 2023, it is planned to transfer the organized part of the enterprise in the field of the audit department from UHY ECA Audyt spółka z ograniczoną odpowiedzialnością spółka komandytowa with its registered office in Warsaw to UHY ECA Audyt spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw,
- UHY ECA Audyt sp. z o.o. sp. k. with its registered office in Warsaw ("Seller") turned to Comarch S.A. with a request for consent to the transfer of all rights and obligations under the contract for the audit of financial statements for the years 2022-24, concluded on the 18th of July 18, 2022 ("Agreement") to UHY ECA Audyt spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw (address: Połczyńska 31A Street, 01-377 Warsaw), entered into the Register of Entrepreneurs of the National Court Register kept by the District Court for the capital city of Warsaw in Warsaw, 12th Commercial Division of the National Court Register under KRS number: 0000487588, NIP: 6751492461, REGON: 122994138, entered into the list of audit firms kept by the Polish Audit Supervision Agency, under the number: 3886 ("Buyer"),
- according to the submitted statement, both the Seller and the Buyer are and will continue to be part of the UHY ECA Capital Group and the Agreement concluded by Comarch S.A. for the audit of financial statements will be performed all the time under the existing conditions by the same team of people,
- the Buyer's accession, in place of the Seller, to the Agreement for the audit of the financial statements, in accordance with their assurance, does not result in the termination of this agreement within the meaning of Art. 66 sec. 7 of the Accounting Act or its expiry.
In connection with the above, the Management Board of Comarch S.A. informs that on 28th of June, 2023, the Supervisory Board of Comarch S.A. adopted resolution 01/06/2023, according to which, acting pursuant to Art. 2 point 5) of the Company's Articles of Association, consented to the Buyer joining the Seller in place of the Seller and the submission by the Management Board of a declaration of consent to the transfer by the Seller to the Buyer, starting from the 1st of July, 2023, of all rights and obligations under the Agreement. The Supervisory Board updated Resolution No. 09/05/2022 of the 16th of May, 2022, on the selection of an audit firm authorized to audit financial statements in such a way that on the date of transferring an organized part of the enterprise from the Seller to the Buyer, i.e. starting from the 1st of July, 2023, an audit company authorized to audit the financial statements of the Company and the consolidated financial statements of the Comarch Capital Group in the scope of:
a) review of the individual financial statement of Comarch S.A. and the consolidated financial statements of the Comarch Capital Group as at the 30th of June, 2023;
b) auditing the annual separate financial statements of Comarch S.A. and the annual consolidated financial statements of the Comarch Capital Group as at the 31st of December, 2023;
c) review of the individual financial statements of Comarch S.A. and the consolidated financial statements of the Comarch Capital Group as at the 30th of June, 2024;
d) auditing the annual separate financial statements of Comarch S.A. and the annual consolidated financial statements of the Comarch Capital Group as at the 31st of December, 2024,
will be UHY ECA Audyt Spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw KRS: 0000487588, NIP: 6751492461, REGON: 122994138 entered into the list of audit firms kept by the Polish Audit Supervision Agency, under the number: 3886.
