Pursuant to Art. 70, sec. 1 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539), the Management Board of ComArch S.A. hereby presents the following information, regarding an increase in BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A.’s share of the total number of votes at the General Shareholders’ Meeting of ComArch S.A.:

The Management Board of ComArch S.A. announces that due to the request of a shareholder and pursuant to resolution no. 1/21/2008 of ComArch S.A.’s Management Board passed on the 1st of December, 2008, the rights attached to 9,400 series A shares have been changed

Pursuant to article 34 sec. 1 pt. 1 of the Regulation issued by the Minister of Finance on the 19th of October, 2005 concerning current and periodical information pertaining to companies traded on the stock exchange (Journal of Laws, No. 209, pos. 1744), the Management Board of ComArch S.A. announces that it has received resolution no. 700/08 of the Management Board of the National Deposit for Securities dated the 23rd of December, 2008 on the registration of 9,400 (in words: nine thousand four hundred) ordinary bearer ComArch S.A. shares with the code PLCOMAR00061.

Regarding the current report no. 28/2008 dated the 14th of November, 2008, the Management Board of ComArch S.A. announces that on the 22nd of December, 2008, according to the German Securities Acquisition and Takeover Act (Wertpapiererwerbs- und Übernahmegesetz) ComArch Software AG, a subsidiary of ComArch S.A. launched a mandatory takeover offer of other shares of SoftM Software und Beratung AG.

Pursuant to &5 sec. 1 pt. 3 of the Regulation issued by the Minister of Finance on 19th October, 2005, concerning current and periodical information pertaining to companies traded on the stock exchange, the Management Board of ComArch S.A. announces that on 9th December, 2008, a contract between ComArch Software AG (a subsidiary of ComArch S.A.) and Bank Polska Kasa Opieki SA, with its registered seat in Warsaw (hereinafter referred to as the “Pekao”) was signed.

In relation to current report no. 28/2008 dated 14 November 2008, the Management Board of ComArch S.A. announces that on 18 November 2008 an increase in share capital of SoftM Software und Beratung AG was registered in District Court in Munich (an increase of 1.500.000).
