Management Board of Comarch S.A. reports that accordingly to the list of shareholders participating the Annual General Shareholders Meeting of Comarch S.A. on the 29th of June, 2011, Elżbieta Filipiak, Janusz Filipiak and ARKA BZ WBK FIO SUBFUNDUSZ ARKA BZ WBK AKCJI FIO (Open Investment Fund) held at least 5 % of the total number of votes represented at this Meeting:

Pursuant to § 5 sec. 1 pt 22 of  the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board herby reports that

Pursuant to § 5 sec. 1 pt 21 of  the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board herby reports that

The Management Board of Comarch S.A. publishes, in the file attached, content of the resolutions passed at the Ordinary Annual General Meeting held on the 29th of June, 2011.

Comarch S.A.’s Management Board informs that on the 8th of June, 2011, an agreement on purchase of Comarch AG shares was signed. It is related to purchase of 1,000,000 Comarch AG shares by Comarch SA from Vintage Investment Holdings S.A. with its registered seat in Luxemburg.

Pursuant to &38 sec. 1 pt. 4) of the Regulation issued by the Minister of Finance on the 19th of February, 2009, concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. announces that it received a petition from BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A. (Investment Funds), a shareholder representing at least 1/20 of the share capital, to include a specific issue in the agenda of the next General Meeting.

Pursuant to the rule number 1) and 2) included in the third part, pt 1 of the “Corporate Governance Principles”, Comarch S.A.’s Management Board conveys 2010 activities’ report of Comarch S.A.’s Supervisory Board and assessment of the company’s situation in 2010 including assessment of the company’s internal system control and risk management in the company

Pursuant to the rule number 3) included in the third part, pt 1 of the “Corporate Governance Principles”, Comarch S.A.’s Management Board reports that on the 18th of May, 2011 Supervisory Board of Comarch S.A. passed the resolution no. 10/5/2011 in which projects of the resolutions at the AGM, to be held on the 29th of June, 2011, are given positive opinions.
