Pursuant to Art. 56, sec. 1 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies, the Management Board of Comarch S.A. announced that acting in execution of the Resolution no. 23 of the Annual General Meeting of Comarch S.A. of the 28th of June, 2010, regarding the managerial option program for key employees, on the 13th of  January, 2014, the Supervisory Board of Comarch S.A. passed the Resolution no. 2/01/2014 on execution of the managerial option program for 2013, by way of issuance of 73,953 (in writing: seventy-three thousand nine hundred fifty-three) ordinary bearer series K3 shares, of nominal value of PLN 1 (in writing: one zloty) and issue price of PLN 1 (in writing: one zloty) each, excluding a stock right of the current company’s shareholders.

Pursuant to § 103 sec. 1 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board sets dates of periodical financial reports in 2014:

Pursuant to Art. 56, sec. 1 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies, and in relation to current reports no. 25/2011 dated the 16th of December, 2011, no. 3/2012 dated the 27th of February, 2012, no. 5/2012 dated the 16th of March, 2012, no. 4/2013 dated the 20th of February, 2013 and 6/2013 dated the 14th of March, 2013  the Management Board of Comarch S.A. has announced that on the 11th of December, 2013, an agreement was signed between Comarch SA and MKS Cracovia SSA on the purchase of MKS Cracovia SSA series G shares.

Pursuant to Art. 56, sec. 1 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies, the Management Board of Comarch S.A. announces that on 4th of December, 2013, Comarch S.A. signed a construction and investment credit agreement with bank Polska Kasa Opieki Spółka Akcyjna with its registered office in Krakow ("Bank"),

Pursuant to Art. 56, sec. 1 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies, the Management Board of Comarch S.A. announced that on 27th of November, 2013, Comarch Polska S.A., a subsidiary of Comarch S.A., signed a contract with 26 healthcare entities, 10 districts and Województwo Podlaskie represented by management board of Województwo Podlaskie, for delivery and implementation of comprehensive IT system in relation to project: “Podlaski System Informacyjny e-Zdrowie” (e-Health IT System for Województwo Podlaskie).

In relation to current reports no. RB-7-2010 dated the 28th of April, 2010, on signing an investment credit agreement with DnB NORD Bank Polska S.A. for financing of the fourth investment stage of the construction of an office and production building in the Special Economic Zone in Krakow (SSE5), and no. RB-20-2013 dated the 1st of October, 2013, on repayment of the afore-mentioned investment credit

Pursuant to § 5 sec. 1 point 1 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board announced that on the 14th of October, 2013, received a notice from the District Court for Krakow-Podgórze, the Fourth Division of the Land and Mortgage Register, on registration of a mortgage, dated the 4th of October, 2013, and related to a real estate located in the Special Economic Zone in Krakow and owned by Comarch S.A.
