In relation to the current report no. 22/2014 dated the 27th of June, 2014, the company presents the corrected list of shareholders holding at least 5% of the total number of votes at the Annual General Shareholders Meeting of Comarch S.A. on the 26th of June, 2014 and including AMPLICO OFE (open investment fund).

Pursuant to Art. 70, sec. 3 of the Act concerning public tenders, the terms for introducing and trading financial instruments on the stock exchange, as well as public companies, the Management Board of Comarch S.A. reports that accordingly to the list of shareholders participating the Annual General Shareholders Meeting of Comarch S.A. on the 26th of June, 2014, Elżbieta Filipiak and Janusz Filipiak held at least 5% of the total number of votes represented at this Meeting

Pursuant to § 5 sec. 1 point 22 of  the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board herby reports that on the 26th of June 2014, at the Ordinary Annual General Meeting, Mr. Robert Bednarski was appointed a member of the Board of Supervisors.

Pursuant to §38 sec. 2 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. hereby informs that on the 26th of June, 2014, General Meeting approved the resolution no. 9 regarding the distribution of net profit for the fiscal year 1.01.2013 - 31.12.2013.

The Management Board of Comarch S.A. publishes, in the file attached, content of the resolutions passed at the Ordinary Annual General Meeting held on the 26th of June, 2014.

Pursuant to §38 sec. 5) of the Regulation issued by the Minister of Finance on the 19th of February, 2009, concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. announces that it received an application from Mrs. Elżbieta Filipiak including draft of a resolution related to additional monetary bonuses for members of the company’s Management Board. The draft of the afore-mentioned resolution is related to the point 8.11) of the agenda and constitutes appendix no. 1 to the application.

Pursuant to &38 sec. 1 pt. 4) and 5) of the Regulation issued by the Minister of Finance on the 19th of February, 2009, concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. announces that it received a request from Mrs. Elżbieta Filipiak, a shareholder of Comarch S.A., to include the following issues in the agenda of the next General Meeting of Comarch S.A.:

Pursuant to the rule number 3) included in the third part, pt 1 of the “Corporate Governance Principles”, Comarch S.A.’s Management Board reports that on the 26th of May, 2014 Supervisory Board of Comarch S.A. passed the resolution no. 10/5/2014 in which projects of the resolutions at the AGM, to be held on the 26th of June, 2014, are given positive opinions.
