In relation to current report no. 21/2013 dated the 4th of October, 2013, on signing the contract with the Consortium of Łęgprzem sp. z o.o., ZSK sp. z o.o. and Graphbud sp. z o.o. (hereinafter referred to as the “Consortium”) for the Realization of the fifth construction stage of the investment in the Special Economic Zone in Krakow, the Management Board of Comarch S.A. has announced that on the 16th of January, 2015, received a signed amendment to the above-mentioned contract.

In relation to current report no. 14/2014 dated the 19th of May, 2014, on receiving an accounting note issued by Agency for Restructuring and Modernisation of Agriculture (ARMA) related to the contract dated the 29th of April, 2013 (hereinafter referred to as the “Contract”), the Management Board of Comarch S.A. has announced that on 14th of January, 2015, it received from Regional Court in Warsaw, the Third Civil Division, a claim filed by ARMA against Comarch S.A., for payment of PLN 34,493,717.28 (in writing: thirty-four million four hundred ninety-three thousand seven hundred seventeen and 28/100) by way of contractual penalties.

Comarch S.A. Management Board announced that on the 12th of January, 2015, pursuant to art. 160 sec. 1 point 1 of the Act on Trading in Financial Instruments (Journal of Laws, no. 183, pos. 1538 and subsequent changes), according to § 2 sec. 1 of the Regulation issued by the Minister of Finance on the 15th of November, 2005 concerning information on some transactions in financial instruments and principles of preparing and administrating the list of persons who can have some specified confidential information (Journal of Laws, no. 229, pos. 1950), received an information on purchase of ordinary bearer Comarch S.A. shares at the Warsaw Stock Exchange.

Comarch S.A. Management Board announced that on the 12th of January, 2015, pursuant to art. 160 sec. 1 point 1 of the Act on Trading in Financial Instruments (Journal of Laws, no. 183, pos. 1538 and subsequent changes), according to § 2 sec. 1 of the Regulation issued by the Minister of Finance on the 15th of November, 2005 concerning information on some transactions in financial instruments and principles of preparing and administrating the list of persons who can have some specified confidential information (Journal of Laws, no. 229, pos. 1950), received an information on sale of ordinary bearer Comarch S.A. shares at the Warsaw Stock Exchange.

Pursuant to § 103 sec. 1 of the Regulation issued by the Minister of Finance on the 19th of February, 2009 concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, Comarch S.A.’s Management Board sets dates of periodical financial reports in 2015:

The Management Board of Comarch S.A. announced that the corrected consolidated quarterly report of the Comarch Group for the three quarters of 2014 will be published today.

In relation to the current report no. 19/2014 dated the 26th of June, 2014, the company informs on correction made in the number of a resolution passed by the AGM of Comarch S.A. on the 26th of June, 2014 and announced in the current report. According to the notarial deed, Resolution no. 30 of the General Shareholders’ Meeting of Comarch S.A. dated the 26th of June, 2014 regarding changes in remuneration of the Supervisory Board Members, should be numbered 29.
